Terms of Service

These Terms of Service ("Terms") govern your access to and use of Wapium("we", "us", or the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old, legally able to enter into a binding contract, and authorized to act on behalf of the business you represent. The Service is intended for commercial use, not personal communication.

2. Account responsibilities

  • Provide accurate information during registration
  • Keep your password and access tokens confidential
  • Notify us immediately of unauthorized access
  • Maintain a valid WhatsApp Business Account with Meta
  • Comply with the WhatsApp Business Solution Terms and Meta's policies

3. Acceptable use

You agree NOT to use the Service to:

  • Send spam, unsolicited messages, or marketing without consent
  • Impersonate any person, business, or entity
  • Distribute illegal, harmful, defamatory, or fraudulent content
  • Engage in phishing, scams, or malware distribution
  • Violate intellectual property rights
  • Circumvent rate limits, security measures, or platform restrictions
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or sublicense the Service without our written consent
  • Violate WhatsApp Commerce Policy or WhatsApp Business Policy

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, especially if required by Meta or law enforcement.

4. WhatsApp and Meta terms

The Service uses the WhatsApp Business Cloud API operated by Meta. Your use of WhatsApp through our platform is also governed by:

You are solely responsible for compliance with these external policies. Violations can result in your WhatsApp Business Account being suspended directly by Meta.

5. Subscription and billing

  • Pricing is shown on the dashboard at signup and renewal
  • Subscriptions auto-renew unless canceled before the next billing date
  • WhatsApp conversation fees charged by Meta are separate and your responsibility
  • Refunds are issued at our discretion within 14 days of payment
  • We may adjust prices with 30 days' notice; existing customers keep their current price for the remainder of the billing cycle
  • Failed payments may result in service suspension after 7 days

6. Service availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, third-party outages (including Meta), or unforeseen technical issues. We are not liable for downtime caused by Meta or other upstream providers.

7. Intellectual property

The Service, including all software, design, branding, and documentation, is owned by Wapium and protected by copyright and trademark laws. You retain ownership of content you create or upload (messages, flows, contact lists). By using the Service, you grant us a limited license to host, process, and transmit your content as needed to operate the platform.

8. End-customer data

Conversations between you and your customers belong to you. We process this data solely as your data processor under our Privacy Policy. You are responsible for ensuring you have lawful basis to message your customers (opt-in consent, ongoing customer relationship, or other GDPR/local-law-compliant ground).

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that messages will always be delivered (Meta controls delivery), that customers will always respond, or that automation flows will produce business outcomes.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising from the Service is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, even if we were advised of the possibility.

11. Indemnification

You agree to indemnify and hold harmless Wapium, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of WhatsApp/Meta policies, or your violation of any third-party rights.

12. Termination

You may cancel your account at any time from the dashboard. We may suspend or terminate your account if you breach these Terms, fail to pay, or if required by law or Meta. On termination, your access stops immediately and your data is deleted within 30 days (except as required by law).

13. Governing law and disputes

These Terms are governed by the laws of the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of the laws of the Islamic Republic of Pakistan, unless mandatory consumer protection law in your country provides otherwise.

14. Changes to these Terms

We may update these Terms occasionally. Material changes will be communicated by email and a dashboard notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
